Terms of Service.

1The short version

• Your files stay yours. We use them only to make your lessons, practice and flashcards, and only you can see them.
• To do that we send the text of your files to an AI provider (OpenAI). See the Privacy Policy.
• What the AI writes can be wrong. Check it against your course material.
• Use Cadenza to study. Do not use it to break your school's rules on graded work.
• Only upload files you have the right to use.
• You can cancel a paid plan any time and delete your account any time.

2Who can use Cadenza

You must be 13 or older to use Cadenza. If you are under 18, a parent or guardian must agree to these terms before you buy a paid plan. If we learn an account belongs to someone under 13, we will delete it.

You need one account per person. Keep access to your email, and to the Google or Apple account you sign in with, safe: anyone who can read your sign-in codes or use that account can get into your account. Tell us at once if you think someone else has.

3What Cadenza does

You add a course, upload its syllabus or course outline, and upload each week's files. Cadenza reads them and makes lessons, questions, flashcards, a calendar of your assessments and scores that show how ready you are. We may change, add or remove features. If a change takes away something you paid for, section 9 applies.

4Your content

You own it. "Your content" means the files you upload, the text we extract from them, your notes and your answers. You keep every right you have in it.

The permission you give us. You let us store, copy, convert, extract text from, and send your content to the service providers listed in the Privacy Policy, and create lessons, questions, flashcards, scores and other study material from it, only to provide the Service to you. This permission is worldwide because our providers are in Canada and the United States, free of charge, and ends when you delete the content or your account. We keep no backup copies (see the Privacy Policy).

What we do not do. We do not show your content to other users, sell it, or use it or allow our AI providers to use it to train AI models.

What you make with Cadenza is yours to use. You may use the lessons, questions and flashcards made for you for your own study. We claim no ownership of them, and they may contain material from your uploads that belongs to someone else.

5What you may upload

By uploading you promise that you have the right to use the file this way, for example because it is your own work, your instructor shared it with you for your course, or using it to study is fair dealing under Canadian copyright law.

Do not upload:

• material you are not allowed to have, such as an exam or answer key that has not been released to you;
• material whose licence forbids copying it into another service (some paid case studies and textbooks do);
• other people's personal information you do not need, such as a class list or a classmate's grades;
• anything illegal, malicious (viruses, files built to attack the Service) or meant to make the AI ignore its instructions.

If you own something uploaded to Cadenza and believe it infringes your copyright, write to [email protected] with the details required by section 41.25 of the Copyright Act. We will forward a valid notice to the user as the law requires and may remove the file.

6Academic integrity

Cadenza is a study tool. You are responsible for following your school's and your instructor's rules, including any rules on AI. Do not use Cadenza to complete assignments, tests or exams where that help is not allowed, or present what it writes as your own work where that is not allowed. We do not share your activity with your school.

7AI output can be wrong

Lessons, questions, model answers, grades, confidence and readiness scores, and the dates and weights we read from your syllabus are generated automatically, mostly by AI. They can be incomplete, out of date or wrong. Always check important facts, especially exam dates, against your official course material and your instructor. A readiness score is an estimate from your practice answers, not a prediction of your grade. Nothing in Cadenza is professional, medical, legal or financial advice.

8Using the Service fairly

Do not: break the law using Cadenza; try to get into another person's account or data; probe, overload, scrape or reverse-engineer the Service; get around usage limits; resell or share access; or use Cadenza to build a competing product.

We may limit, suspend or close an account that breaks these terms or puts the Service or other people at risk. Unless the problem is serious or the law prevents it, we will tell you first and give you a chance to fix it and to download your content.

9Plans, payment and cancellation

Free plan. Up to 5 courses.

Paid plans are not available yet. The rest of this section describes how they will work when they launch. A paid plan's price and what it includes will be shown before you buy. The price shown is the full price apart from sales tax. A plan renews automatically at the end of each billing period until you cancel.

Where you pay.

• On the web, payment is handled by Stripe. We never see your full card number.
• In the iOS app, payment is handled by Apple through in-app purchase, and Apple's Media Services Terms also apply to the payment.

Cancelling. You can cancel any time: on the web in Settings → Plan, and for an Apple purchase in your Apple ID's Subscriptions settings. Cancelling stops the next renewal; you keep the paid features until the end of the period you have paid for. If you go back to the free plan, everything you made stays, but features above the free limits stop until you upgrade again.

Refunds. Except where the law gives you a right to one (for example under the Ontario or Quebec Consumer Protection Acts), payments are not refunded for partial months. If the Service is down for a long time or something has gone wrong with a charge, write to us and we will make it right. Refunds for purchases made through Apple are decided by Apple; request them at reportaproblem.apple.com.

Price changes. We will tell you by email at least 30 days before a new price applies to your plan, showing the old and new price and the date. If you do not want the new price, you can cancel before it starts at no cost. For a purchase made through Apple, Apple's own rules on price increases also apply.

Copy of this agreement. When you buy a plan, we email you a copy of these terms and the details of your purchase.

10Deleting your account

You can delete your account in Settings → Privacy and Data → Delete Account. This deletes your files, everything made from them and your account right away. We keep no backups, so deleted data cannot be recovered. Once paid plans launch, deleting your account will not cancel a subscription bought through Apple; cancel that in your Apple ID settings.

We delete an account that has not been used for 24 months, after emailing you a warning 30 days before.

11Our responsibility to you

We work hard to keep Cadenza available and your content safe, but we cannot promise the Service will always be available, free of errors, or that your content can never be lost. Keep your own copies of your files.

To the extent the law allows: the Service is provided "as is"; we are not liable for indirect or consequential losses, such as a lower grade, a missed deadline or lost study time; and our total liability to you for any claim is limited to the greater of the amount you paid us in the 12 months before the claim and CA$50.

None of this limits rights you have under consumer protection law that cannot be excluded, or our liability for gross negligence, intentional fault or anything else the law does not let us exclude. Quebec consumers keep all rights under the Quebec Consumer Protection Act and Civil Code.

12Changes to these terms

If we change these terms we will tell you by email and in the app at least 30 days before the change takes effect, showing what is changing, the old and the new text, and the date. If you do not agree, you can cancel and delete your account before that date at no cost, and get a pro-rated refund of any period you have prepaid. We will only change: features and plans, prices (section 9), how we handle content and conduct, and legal terms needed to follow the law. Fixes to typos or wording that do not change your rights take effect when published.

13Law and disputes

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Disputes go to the courts of Ontario sitting in Toronto, unless the consumer protection law of the province where you live gives you the right to sue in your own province or to apply its law, in which case you keep that right. Nothing in these terms takes away your right to join a class action or to use a small claims court. Please write to us first; most problems can be fixed by email.

14Apple

If you use the iOS app: these terms are between you and Cadenza, not Apple. Apple is not responsible for the app or its content, has no duty to provide support for it, and is not responsible for any claim about it, including product liability, legal compliance or intellectual property claims. If the app fails to meet a warranty, you may tell Apple and Apple will refund the app's purchase price, if any; Apple has no other warranty duty. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You confirm you are not in a country under a US government embargo and are not on a US list of prohibited or restricted parties.

15Everything else

If a part of these terms cannot be enforced, the rest still applies. If we do not enforce a term right away, we have not given it up. You may not transfer this agreement; we may transfer it to a business that takes over Cadenza, and we will tell you first. These terms and the Privacy Policy are the whole agreement between us about the Service.
